Highlights
• All conditions precedent satisfied for the $7.5 million divestment of Alligator’s
Northern Territory uranium assets to DevEx Resources Limited.
• Transaction completion expected by the end of June 2026.
• Proceeds from completion expected to materially strengthen Alligator’s cash balance

• Strategic divestment simplifies portfolio to focus on the South Australian assets.
Alligator Energy Limited (ASX: AGE, Alligator or the Company) is pleased to provide an update
on the previously announced divestment of its non-core Northern Territory (NT) uranium assets to
DevEx Resources Limited (ASX: DEV) for total consideration of $7.5 million. The Company confirms
that all conditions precedent under the Asset Sale Agreement have now been satisfied, with
completion of the transaction expected to occur by the end of June 2026.
Upon completion, the transaction will deliver a material inflow of funds, comprising:
• $5.75 million in upfront consideration (subject to agreed mix of cash and DevEx shares); and
• $1.75m will be held in a third-party escrow pending renewal of the exploration access
agreement relating to EL’s 24921 and 24922 which is due to expire in May 2027.
Alligator’s CEO and Managing Director Andrea Marsland-Smith stated: We are now very close
to completing this transaction with the satisfaction of conditions precedent. This as forecasted,
strengthens Alligators’ cash balance to fund planned exploration and development activities while
reducing near-term funding requirements as we accelerate work at Samphire.
This release was authorised by the Board of Directors.
